Terms of Service

1. Introduction

Welcome to Bravo ProCases. These Terms of Service ("Terms") govern your business relationship with Guangzhou Bravo Stage Company Limited and its affiliated entities ("Bravo ProCases," "we," "us," or "our"). By accessing our website, requesting quotes, placing orders, or engaging in any business transaction with us, you agree to be bound by these Terms.

Our manufacturing services are exclusively provided on a business-to-business (B2B) basis to professional organizations in the touring, AV, broadcast, and live event industries.

2. Acceptance of Terms

By using our services, you represent and warrant that:

• You are a duly authorized representative of a legitimate business entity
• You have the authority to enter into binding commercial agreements on behalf of your organization
• You will use our products and services for professional commercial purposes only
• You agree to comply with all applicable laws and regulations in your jurisdiction

3. Business Relationship (B2B Only)

Bravo ProCases operates exclusively on a B2B wholesale and OEM/ODM manufacturing basis. We do not sell directly to individual consumers or retail end-users.

Our services are intended solely for professional buyers, including but not limited to: AV rental companies, concert touring companies, broadcast integrators, production houses, exhibition contractors, system integrators, and equipment distributors.

4. Products and Services

We manufacture and supply custom flight cases, road cases, and transport solutions for professional equipment protection. Our product offerings include:

• Standard and custom flight cases
• ATA-compliant transport cases
• Rack cases and shock mount systems
• CNC foam customization services
• OEM and ODM manufacturing partnerships

All specifications, images, and descriptions are provided for general reference. Final product specifications shall be confirmed in writing through formal quotations and purchase orders.

5. Ordering and Pricing

5.1 Quotations: All prices are quoted on a project-specific basis and are subject to change without notice. Formal quotations are valid for 30 days unless otherwise specified.

5.2 Minimum Order Quantities: MOQ requirements may apply depending on product type and customization level. Specific MOQ will be communicated during the quotation process.

5.3 Payment Terms: Payment terms will be specified in the commercial invoice or contract. Standard terms include advance deposit and balance payment before shipment. Payment methods and currency will be confirmed in writing.

5.4 Order Acceptance: All orders are subject to our acceptance. We reserve the right to refuse any order at our sole discretion.

6. Manufacturing and Delivery

6.1 Lead Times: Production lead times vary based on order volume and customization requirements. Estimated lead times will be provided during quotation and confirmed upon order placement.

6.2 Shipping and Delivery: Shipping terms (FOB, CIF, DDP, etc.) will be specified in the quotation. Risk of loss passes to buyer according to the agreed Incoterms. Delivery dates are estimates only and we are not liable for delays beyond our reasonable control.

6.3 Inspection: Buyer shall inspect goods upon receipt. Claims for defects or shortages must be reported in writing within 7 days of delivery.

7. Intellectual Property

All intellectual property rights in our designs, manufacturing processes, technical documentation, and materials remain the exclusive property of Bravo ProCases unless otherwise agreed in a separate written OEM/ODM agreement.

For custom OEM/ODM projects, intellectual property ownership and licensing terms will be explicitly defined in the manufacturing agreement.

8. Warranties and Disclaimers

8.1 Limited Warranty: We warrant that products will be free from defects in materials and workmanship under normal use for a period specified in the quotation or purchase order. This warranty is limited to repair or replacement of defective products at our discretion.

8.2 Exclusions: This warranty does not cover damage caused by misuse, improper handling, modifications, normal wear and tear, or failure to follow care instructions.

8.3 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAVO PROCASES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR PRODUCTS.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, technical specifications, pricing, and business terms disclosed during the course of our business relationship.

For OEM/ODM partnerships involving sensitive product development, a separate Non-Disclosure Agreement (NDA) may be executed.

11. Termination

We reserve the right to terminate any business relationship or refuse service at our sole discretion, with or without cause, at any time. Outstanding orders and payment obligations shall survive termination according to the terms of existing purchase orders.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

Any disputes arising from these Terms or our business relationship shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in Guangzhou, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
